Ms. Guo is specialized in the legal matters of company operation affairs, M&A and restructuring, investment and financing, employment and human resources. She is serving as outside legal counsel to many domestic listed companies and domestic and foreign companies, covering the industries of medical devices, e-commerce, chip design, semiconductor, professional software, and international trade. She advised the regulatory rules, contracts, foreign exchange, taxation and employment for the compliance operation and business operation of various companies.

Ms. Guo has practiced law as a lawyer for more than ten years, and participated in investment in or acquisition of domestic companies by foreign investors such as acquisition of a domestic ultrasound medical equipment manufacturer by Philips, and the projects involving taking domestic and overseas venture capital and private fund financing by domestic companies such as “Leon Frog” cartoon figure, the real estate construction syndicated loan for the Bank of Communications, the purchase of a huge-value commercial real property by State Nuclear Power Plant Service Co., Ltd., the construction of a real property project at Shanghai Bank Card Industrial Park for Chinese and foreign financial institutions, and the establishment, change and stock incentive plans of various business entities.

In the field of capital market, Ms. Guo served as legal counsel to the private offering of shares of Shanghai Ganglian E-commerce Holdings Co., Ltd. (300226), the NEEQ listing and private offering of shares of Shanghai Ganglian E-commerce Holdings Co., Ltd. (835092), the restructuring of substantial assets of Shanghai Prosolar Resources Development Co., Ltd. (600193), and the private placement of shares of Shanghai Natlinear Electronics Co., Ltd. (831394).

Ms. Guo also has rich experience in litigation and arbitration and handled many cases involving equity joint venture, contractual joint venture, real estate, insurance, labor and employment.
