Mr. Liu was admitted to bar in 1990 and started his career as a full-time lawyer in the same year. He is one of the earliest law practitioners in China who have received systematic education and training in law. For more than 20 years of practice, he has been working in Hainan Special Economic Zone and Pudong District, the most economically active frontiers of reform and opening up. Faced with the new businesses and legal requirements that have emerged in the economic development, he solved various complex and difficult legal problems for his clients and provided quality and efficient legal services to various businesses, entities and individuals with his solid professional knowledge of civil and commercial laws and rich practical experience, by upholding the principles of legality, pragmatism and integrity.

In the field of finance and securities, he received the securities practice qualification certified by the Ministry of Justice and the CSRC in 1993, and became one of the earliest lawyers with this qualification in China. He provided legal services to dozens of domestic and foreign banks, trusts, insurance companies, financial leasing companies and other financial institutions, covering the industries of commercial credit, export credit, syndicated loan, mortgage loan, factoring, trust, and financial leasing. As the legal counsel of the issuers or the brokers, he also advised dozens of large- and medium-sized state-owned enterprises and private enterprises in the stock-equity reform, establishment of joint-stock company, IPO, public additional offering and allotment of shares of listed companies, M&A and restructuring, private placement of shares, issuance of convertible corporate bonds and corporate bond listing. As the legal counsel of the liquidation committee, he also provided legal services for the winding-up and bankruptcy of securities companies.

In the field of capital market, he provided thorough legal services for the operations of corporate capital as the outside legal counsel to a number of well-known listed companies. He is a member of our counsel team to China Financial Futures Exchange and Shanghai Stock Exchange, and participated in several seminars concerning the major theoretical and practical issues of the securities market, financial futures market and concerning the building of multi-tier capital market. He advised many companies in the issuance of medium and long-term bonds, bill financing, overseas financing for foreign-invested companies, establishment of trusts, fund companies and private equity fund companies, and offering of financial products. In addition, he provided full-process legal services to the securities companies, trust companies, asset management companies and fund companies in the innovative businesses such as wealth management, asset securitization, financial futures and derivatives.

In the field of commercial laws, he has been serving as outside legal counsel to government agencies, public institutions, provincial newspapers, state-owned enterprises, foreign-invested companies and various private enterprises for many years, and provided legal services for the establishment of companies and all kinds of business activities, covering legal policy advice, business model design, drafting and review of business contracts, prevention and control of legal risks, and remedies. His practice areas cover corporate governance and internal control, foreign exchange, taxation, environmental protection, employment, customs, land, real estate, construction, and marine business.
